1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of CreateTheSite.com and our related services (the “Service”).
By accessing the website, creating an account, or purchasing any service, you agree to be bound by these Terms. If you do not agree,
do not use the Service.

2. Services & Subscriptions

Web Design & Hosting (Monthly): custom website, hosting, maintenance (updates, security fixes), basic SEO, support.
VIP Package (Monthly): enhanced customization and additional monthly modifications.
Content Creation (One-off): article/blog writing in single or 4-pack options.
Ad Management (Monthly): Google Ads and Facebook/Instagram Ads strategy, build, and optimization.
Auto-Renewal: monthly subscriptions renew on the calendar day of original signup (e.g., signup May 11 → billed June 11, July 11, etc.) until cancelled.

3. Accounts & Security

You must create an account to use subscription services and are responsible for all activity under it.
Keep credentials confidential; do not share your login. Provide accurate, complete information and keep it updated.
We may suspend or close accounts for suspected fraud, abuse, or policy violations.

4. User Conduct & Prohibited Content

You agree not to use the Service for unlawful purposes or to upload, post, or transmit content that is:

illegal; infringing; defamatory; harassing; hateful; threatening; or otherwise abusive;
pornographic, obscene, or sexually explicit;
promoting self-harm, terrorism, or other criminal activity;
malware, phishing, spam, or code intended to disrupt systems;
violating privacy, publicity, copyright, trademark, or other rights.

These rules apply across the site, including client dashboards, forums, chatrooms, affiliate areas, and any update/upload forms.
We may remove content and suspend or terminate accounts for violations.

5. Billing, Payment & Refunds

Currency & Method: All fees are in USD. You authorize recurring charges to your selected payment method.
Timing: Fees are billed in advance on the signup-day anniversary for monthly services.
Late Payments: 15 days past due → suspension; 60 days past due → termination and file deletion.
For new accounts under 3 months, termination may occur after 30 days past due.
Refunds: Fees are non-refundable unless required by law. Cancellation takes effect at the end of the paid term.
Your Responsibility: Keep payment details current and settle all charges promptly.

6. Ownership & Licenses

While hosted on our servers, the website design, theme, layouts, code, and content created by CreateTheSite (collectively, “CreateTheSite Content”)
remain the property of CreateTheSite, Inc. You receive a limited, non-exclusive license to use CreateTheSite Content during an active subscription.

To acquire full ownership and transfer to another platform, you may purchase a one-time transfer/buy-out of rights for
$2,500 (plus any outstanding balances). Upon receipt, we will provide files and assign rights necessary to use the site elsewhere.
You retain ownership of assets you upload (e.g., your logos, photos) and grant us a license to host and display them while you use the Service.

7. Third-Party Services

The Service may integrate with or rely on third-party tools (e.g., Google Analytics, Facebook Pixel, Google Workspace/Gmail,
Amazon AWS, advertising platforms). Your use of such tools is governed by those providers’ terms and privacy policies.
We are not responsible for third-party services, their availability, or their actions.

8. Suspension & Termination

We may suspend or terminate your access for violations of these Terms or non-payment as outlined in Section 5.
Upon termination, your right to access the Service ends immediately. Provisions that reasonably survive termination
(ownership, fees, indemnity, limitations, arbitration, governing law) remain in effect.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee
uninterrupted or error-free operation or that the Service will meet your requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATETHESITE, INC. AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, REVENUE, DATA,
OR BUSINESS INTERRUPTION). OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE
SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM,
OR ONE HUNDRED DOLLARS (US$100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless CreateTheSite, Inc., its officers, directors, employees, and agents
from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees)
arising out of or related to: (a) your content; (b) your use of the Service; (c) your breach of these Terms; or
(d) your violation of any law or third-party right.

12. Arbitration & Governing Law

Any dispute or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration
administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Judgment on the award
may be entered in any court of competent jurisdiction. YOU AND CREATETHESITE WAIVE THE RIGHT TO A JURY TRIAL AND
TO PARTICIPATE IN A CLASS ACTION.

These Terms are governed by the Federal Arbitration Act and the laws of the State of Arizona, without regard to conflict-of-law rules.
For matters not subject to arbitration, the state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page (or communicated by email)
before taking effect. Continued use of the Service after an update constitutes acceptance of the revised Terms.
